1. Definitions

In these Terms and Conditions, the following words have the meanings set out below:

• "Damai Tech", "we", "us", "our" — the company registered and operating from Jalan Tunku Abdul Rahman 67, 50100 Kuala Lumpur, Malaysia
• "Service" — any AI integration support service offered by Damai Tech, including Reply Helper Setup, Workflow Ease Support, and Simple Reports Setup
• "Client", "you", "your" — the individual or business entity engaging with or enquiring about our Services
• "Agreement" — the arrangement formed when you accept a service proposal from us
• "Website" — the Damai Tech website and all pages contained within it
• "Deliverable" — the output produced as part of a Service engagement, such as a configured AI helper, workflow notes, or a data dashboard

2. Acceptance of These Terms

By using our website or enquiring about our services, you confirm that you have read and agree to these Terms and Conditions. If you do not agree, please refrain from using the website or engaging our services.

Our Services are intended for businesses and individuals aged 18 or over who have the legal capacity to enter into agreements.

3. Our Services

Damai Tech provides AI integration support for small businesses in Malaysia. Our three current services are:

• Reply Helper Setup — building a modest AI helper to assist with customer reply drafts
• Workflow Ease Support — identifying and easing repetitive business tasks through appropriate AI tools
• Simple Reports Setup — organising existing business data into readable summaries or dashboards

Services are delivered remotely. Availability may be limited at times due to capacity, and we will communicate this clearly if it applies to your enquiry.

4. Your Responsibilities

When working with us, you agree to:

• Provide accurate and complete information relevant to the service being delivered
• Respond to reasonable requests for input or clarification within an agreed timeframe
• Not use our services or website for unlawful purposes
• Not attempt to reverse-engineer, copy, or resell outputs from our services without prior written agreement
• Keep access credentials for any tools we set up on your behalf secure and confidential

We reserve the right to pause or end a service engagement if these responsibilities are not met after reasonable notice.

5. Intellectual Property

All content on this website — including text, design, structure, and code — is the property of Damai Tech and protected under applicable Malaysian intellectual property law.

Upon full payment for a completed service, the deliverables produced specifically for your business become yours to use for your own operations. We retain the right to refer to the type and nature of work completed (without sharing confidential details) for our own reference and business purposes.

Third-party tools, platforms, and software configured as part of a service remain subject to their own respective licence terms.

6. Payment Terms

Our service prices are stated in Malaysian Ringgit (RM) and are confirmed in writing before any engagement begins. Current indicative pricing:

• Reply Helper Setup — RM 585
• Workflow Ease Support — RM 1,010
• Simple Reports Setup — RM 1,355

Payment terms, including any deposit or milestone arrangement, are agreed upon in writing at the start of each engagement. We accept payment via methods confirmed during the enquiry process.

Refunds

Where work has not yet commenced, any deposit paid may be refunded in full. Once meaningful work has begun, refunds are assessed on a fair and proportionate basis. We aim to resolve any concerns through conversation before a formal request becomes necessary.

7. Service Delivery

Estimated timeframes for each service are shared before engagement begins. These are good-faith estimates rather than binding guarantees, as delivery can be affected by factors such as the availability of your business data, your feedback cycles, or third-party tool access.

Significant changes to the agreed scope of work may affect the timeline or require a revised arrangement. We will discuss any such changes openly with you before proceeding.

On completion, we provide handover notes and, where applicable, a walkthrough of what has been built. An optional one-month check-in is available on the Simple Reports Setup service.

8. Disclaimers

Our services are provided in good faith, drawing on reasonable skill and care. However, we cannot guarantee specific business outcomes — AI tools are aids, not certainties, and their effectiveness depends on many factors beyond our control.

9. Limitation of Liability

To the extent permitted by Malaysian law, Damai Tech's total liability for any claim arising from our services or website shall not exceed the total amount paid by you for the specific service from which the claim arises.

We are not liable for indirect, incidental, or consequential losses, including lost profits or data loss, where these arise from circumstances beyond our reasonable control.

10. Indemnification

You agree to indemnify and hold Damai Tech harmless from any claims, costs, or damages arising from your breach of these Terms, your misuse of our services or website, or any third-party claims resulting from your use of deliverables we have produced for you.

11. Termination

Either party may end a service engagement by providing reasonable written notice. If we terminate due to a breach on your part, any refund will be assessed fairly based on work completed to that point.

Clauses relating to intellectual property, payment, liability, and indemnification continue to apply after any termination.

12. Dispute Resolution

These Terms are governed by the laws of Malaysia. If a disagreement arises, we ask that you first contact us directly at [email protected] so that we can try to resolve the matter through honest conversation.

If informal resolution is not possible, the matter shall be referred to mediation before any formal legal proceedings are commenced. The courts of Malaysia shall have jurisdiction over any unresolved disputes.

13. General Provisions

• Entire agreement — These Terms, together with any written service proposal accepted by both parties, constitute the full agreement between us
• Severability — If any part of these Terms is found to be unenforceable, the remaining parts continue in full effect
• No waiver — Failure to enforce a term on one occasion does not waive our right to enforce it in future
• Assignment — You may not transfer your rights under these Terms without our written consent

14. Changes to These Terms

We may update these Terms from time to time. When we do, the "Last Updated" date at the top of this page will be revised. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
